PURCHASE TERMS AND CONDITIONS


BeeSmoke s.r.o., a legal entity duly incorporated in the Slovak Republic with registration No. 52797414 and legal address at Námestie Martina Benku 16 Bratislava - mestská časť Staré Mesto 811 07 (hereinafter referred to as “BeeSmoke”, “we”, “us”, “our”), ask you to read the most important BeeSmoke purchase terms and conditions (hereinafter referred to as the – “Terms and Conditions” specified below, in order to avoid misunderstanding during the conclusion of the purchase agreement (hereinafter referred to as the – “Agreement”).
I. GENERAL TERMS AND CONDITIONS OF THE PURCHASE ORDER
1.1. Please be informed that taking into account the specific of our business, BeeSmoke can conclude the Agreement only with a legal entity (hereinafter referred to as the – “Buyer”).
1.2. The minimum amount of the specific flavour of the electronic cigarettes that can be ordered by the Buyer is 999 (nine hundred ninety-nine) – hereinafter referred to as the – “Consignment”. The price of each consignment shall be provided by us to the Buyer after the request specified in Sub-clause 1.4. is received.
1.3. In order to enter into the Agreement, the Buyer shall send us a request by filling in the request form available on our website https://www.beesmoke.eu/ (hereinafter referred to as the – “Website”) in the section “Contact”.
1.4. In the request, the Buyer’s representative shall specify the following information:
1.4.1. the country of the Buyer’s residence;
1.4.2. email of the Buyer’s representative;
1.4.3. phone number of the Buyer’s representative;
1.4.4. the text of the request specifying the amount of Consignments, the information on the Buyer’s company: the name of the company, registration number, and legal address.
1.5. The request shall reach us automatically and we will respond to you within 48 (forty-eight) hours after the request was sent, and shall inform you about further steps.

II. CONCLUSION OF THE AGREEMENT AND DELIVERY
2.1. When the Buyer’s request is received and evaluated by our team, we will send to the Buyer’s representative a draft Agreement for the coordination. All communication between the Buyer and us shall have place via the email address or phone number provided to us by the Buyer’s representative.
2.2. When terms and conditions of the Agreement are coordinated between the Buyer and us, we organize the ordered electronic cigarettes manufacturing process. Approximate delivery time, as well as the delivery method, shall be coordinated during the coordination of the terms and conditions of the Agreement.
2.3. Payment for the Buyer’s order shall be made in the form of the bank transfer to the bank account of BeeSmoke specified in the Agreement or invoice. All essential payment terms and conditions shall be specified in the Agreement.

III. COMPLAINTS
3.1. In case the electronic cigarettes delivered to the Buyer are of poor quality, the Buyer in accordance with the terms and conditions of the Agreement shall have the right to submit claims regarding poor-quality items (including package) within 5 (five) business days from the moment of receiving the items under the corresponding purchase order. In case of hidden defects, the claim shall be submitted within 2 (two) months from the moment the items have been delevered. The more detailed conditions regarding the claim submission shall be specified in the Agreement.
3.2. The complaint shall be submitted by email specified in the Agreement or to the mailing address: Námestie Martina Benku 16 Bratislava - mestská časť Staré Mesto 811 07. The Buyer can also submit a complaint by using the contact form on our Website in the “Contact” section.
3.3. Please consider, that the proof of the defect shall be submitted (for instance, a photograph).
3.4. The procedure and terms for compensation for losses and/or replacement of items are described in the Agreement.
3.5. In the situation the Buyer is not satisfied with the complaint resolution, the Buyer shall act in accordance with the terms and conditions of the Agreement and applicable law.
3.6. For the avoidance of doubt, we kindly ask each Buyer to read the instructions for use included with each electronic cigarette.

IV. DISTRIBUTION RIGHTS AND EXCLUSIVE RIGHTS
4.1. BeeSmoke offers two types of the cooperation:
4.1.1. Distribution Rights – the Buyer shall have full right on selling the BeeSmoke products in the Buyer’s region based on pre-agreed purchase orders;
4.1.2. Exclusive Rights – the Buyer can be granted exclusive rights to sell BeeSmoke products in the Buyer’s region, and the Buyer will have a monopoly on BeeSmoke products, which means that BeeSmoke will eliminate any new “players” in the Buyer’s region.
4.2. BeeSmoke works individually with each Buyer and based on Consignment quantity you may be granted one of the options specified above. In order to be granted Exclusive Rights, you should order 41958 (forty-one thousand nine hundred fifty-eight) items of the product within one calendar month.
4.3. Apart from the options mentioned above, the information of the Buyer’s company upon the Buyer’s consent may be placed on our Website, and the Buyer may obtain a possibility to be promoted as our partner by our marketing team.

V. PERSONAL DATA PROCESSING
5.1. BeeSmoke processes the personal data of the Buyer’s representatives only, and all essential information on the personal data processing is determined in our Privacy Policy available on the Website.
5.2. The Information about cookies used on the Website is available on our Website in the section “Cookies Policy”.

VI. CHANGES TO THE PURCHASE TERMS AND CONDITIONS
6.1. BeeSmoke reserves the right to make changes to these Purchase Terms and Conditions at its own discretion and upon the necessity.
6.2. It is the sole responsibility of the Website users and potential Buyers to read the Purchase Terms and Conditions before making the purchase order and conclusion of the Agreement.
